Please read these Terms of Use ("Terms") carefully before using BreakOps Auctions (the "Service") operated by Cavanal Web Designs LLC ("we," "us," or "our"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

BreakOps Auctions is a software-as-a-service platform that helps trading card break operators manage products, auctions, and orders through integration with TikTok Shop and other third-party platforms. We are an independent tool and are not affiliated with, endorsed by, or sponsored by TikTok, ByteDance, or any other third party.
3. Account Registration
You must connect a valid TikTok Shop account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
- Attempt to gain unauthorized access to any part of the Service or its related systems;
- Reverse engineer, decompile, or disassemble any portion of the Service;
- Use the Service to transmit spam, malware, or any harmful content;
- Resell, sublicense, or otherwise transfer access to the Service without our written consent;
- Interfere with or disrupt the integrity or performance of the Service.
5. Third-Party Services
The Service integrates with third-party platforms including TikTok Shop. Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or actions of any third-party service. Changes to third-party APIs may affect the functionality of the Service, and we make no guarantee of uninterrupted integration.
6. Intellectual Property
All content, features, and functionality of the Service — including but not limited to software, text, graphics, and logos — are the exclusive property of Cavanal Web Designs LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CAVANAL WEB DESIGNS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
9. Indemnification
You agree to indemnify, defend, and hold harmless Cavanal Web Designs LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another person or entity.
10. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, United States, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be resolved exclusively in the courts located in Oklahoma.
12. Changes to These Terms
We reserve the right to update these Terms at any time. We will post the revised Terms on this page with an updated effective date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
